Legal
General Terms and Conditions
This is an English translation. If it differs from the German original, the German version applies.
§ 1 Scope, contracting party
(1) These General Terms and Conditions apply to all contracts for the use of the AMBOSS software (macOS app and panel for editing software) and its cloud features (“AMBOSS”) that are concluded through the website amboss-app.de.
(2) Your contracting party is Amboss AI UG (haftungsbeschränkt), Kurfürstendamm 50a, 10707 Berlin, registered in the commercial register at the Amtsgericht Charlottenburg (Local Court, Berlin) under HRB 291497 B (“we”). Contact: support@amboss-app.de, phone +49 162 4026611.
(3) A consumer is any natural person who enters into a legal transaction for purposes that are mainly outside their trade, business or profession. A business (Unternehmer) is a natural or legal person or a partnership with legal capacity that acts in the exercise of its trade, business or profession when it enters into a legal transaction.
§ 2 Service
(1) AMBOSS is software for AI-assisted post-production of video projects. The contract covers use of the app on one computer per licence and the cloud features described for the chosen plan (transcription, AI edit suggestions, subtitles, motion graphics, video generation). Scope and quotas follow from the plan description on the website at the time of the order.
(2) Included quotas (e.g. AI videos per month, daily quota for cloud processing) apply per billing month and expire at the end of the month. Unused quotas do not carry over. You can buy extra credit in the app. It is shown separately and is not part of the subscription.
(3) Features we label “beta” are in development and may change. Statutory warranty rights are not affected.
(4) AMBOSS uses third-party services for its cloud features (including providers of AI models). We may replace these services as long as the service described in the contract is maintained.
§ 3 Conclusion of the contract, customer information
(1) The plans shown on the website are not a binding offer. When you click the order button in the payment form, you make a binding offer. The contract is concluded when we confirm the order by sending you the licence key by email.
(2) The contract language is German. We store the contract text (these terms, the plan description and the confirmation email). The confirmation email contains all essential contract details. You can view and save these terms at any time at amboss-app.de/agb; this English translation is at amboss-app.de/en/terms.
(3) You can correct input errors in the payment form before you submit the order. We show you the email address to check before and after payment.
§ 4 Free trial
(1) For some plans we offer a free three-day trial. It starts with the order. You need to add a payment method, and nothing is charged during the trial.
(2) If you don't cancel before the trial ends, the contract automatically turns into the paid subscription you ordered. The first charge happens when the trial ends. We point this out before the order, in the confirmation email and in the app.
(3) One trial is available per person or email address.
§ 5 Prices and payment
(1) The prices shown on the website at the time of the order apply. All prices are in euros.
(2) Payment is processed by our payment provider Stripe (Stripe Payments Europe Ltd., Dublin) using the payment methods offered in the payment form. For contracts concluded before we changed payment providers, Whop Inc. remains the payment provider.
(3) Monthly subscriptions are charged monthly in advance, annual subscriptions yearly in advance. The billing period starts when the contract is concluded or when the trial ends.
(4) If a charge fails, we let you know by email and try again. If payment still doesn't come through, we may block access until it does and terminate the contract after an unsuccessful reminder.
§ 6 Term and cancellation
(1) Monthly subscriptions run for one month and renew by one month at a time. Annual subscriptions run for one year and renew by one year at a time. Either renews unless it is cancelled before the end of the term.
(2) You can cancel at any time with effect from the end of the current billing period: with the “Cancel contracts here” button (amboss-app.de/en/cancel), in your subscription portal (amboss-app.de/en/subscription) or by informal email to support@amboss-app.de. You can keep using AMBOSS until the end of the period you paid for.
(3) The right to terminate for good cause is not affected.
§ 7 Right of withdrawal
Consumers have a statutory right of withdrawal. You'll find the details, the model withdrawal form and the withdrawal function on the page Right of withdrawal.
§ 8 Rights of use
(1) When the contract is concluded, you receive a simple, non-transferable right, limited to the term of the contract, to use AMBOSS to the agreed extent. The licence key is personal. For Teams plans, each seat is for one person.
(2) You may not pass the licence key on to third parties, get around technical protection measures, reverse engineer the software (unless the law allows it) or use the cloud features for automated mass use beyond the intended quotas.
(3) We acquire no rights to the content you upload or to the results beyond what we need to provide the service. You are responsible for the rights to your material.
§ 9 Customer obligations
(1) You are responsible for backing up your projects and media files and for checking AI results before you publish them.
(2) You make sure that the material you upload does not infringe the rights of third parties and that you hold the rights you need, especially for other people's voices and faces.
§ 10 Availability, changes
(1) We aim to keep the cloud features highly available. Maintenance, outages at third parties and force majeure can limit availability at times.
(2) We may develop AMBOSS further and change features, as long as the agreed core of the service stays in place. We tell you about significant changes by email or in the app. If a change is to your disadvantage, you may cancel with effect from the date it takes effect.
§ 11 Warranty
The statutory warranty rights for digital products apply (Sections 327 et seq. BGB). We provide the updates needed to keep AMBOSS in line with the contract for the entire term of the contract.
§ 12 Liability
Our liability is governed by section 5 of the Terms of use and liability, which form part of this contract.
§ 13 Data protection
You can find out how we process personal data in our privacy policy. Businesses can get a data processing agreement from us on request.
§ 14 Price changes
We announce price changes by email at least six weeks before they take effect. They only apply from the next billing period after this notice period. If you don't object before the change takes effect, the new price applies. Our announcement tells you about your right to object and what happens if you say nothing. If you object, the contract ends when the change takes effect.
§ 15 Final provisions
(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). Consumers who habitually live in another country keep the protection of that country's mandatory consumer protection rules.
(2) For merchants, legal entities under public law and special funds under public law, the place of jurisdiction is Berlin.
(3) We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board.
(4) If any provision is invalid, the remaining provisions stay in effect.
